Santos is a Director in our European Capital Markets Group practice and has worked for over ten years with North American and European clients in external audit and advisory roles. She has advised clients on all forms of U.S. capital markets activity (IPO, 144a, mergers & acquisitions, etc.), US GAAP, IFRS and SEC reporting requirements, US GAAP and IFRS technical issues and GAAP conversions.

Santos has specifically worked with both public and private clients in a variety of industries and countries including: Navios Maritime Partners L.P., Navios Maritime Holdings, Danaos Corporation, NewLead Holdings (formerly Aries Maritime), Seanergy Maritime, Philips/Respironics and Siemens AG.

Key Experiences include:
  • For several international companies in the consumer and industrial products and shipping industries, provides US GAAP, IFRS and SEC reporting and technical advice. In addition, provides assistance related to the financial reporting implications of their capital market
  • transactions (IPO, 144a, F-1, F-3, F-4). For a multi-national Group headquartered in Europe, provided US GAAP and IFRS technical advice and planned the Group's application of IFRS as their primary reporting GAAP. The planning for applying IFRS as a primary reporting GAAP included: (1) the identification of the majority of US GAAP and IFRS differences (2) evaluation of the applicability of the identified differences to the Group and (3) scoping of which US GAAP and IFRS differences would be applied by the Group. In addition, developed and facilitated surveys for multiple reporting groups to identify potential new US GAAP and IFRS differences, developed training for multiple international locations on the differences between US GAAP and IFRS and advised on a new IFRS accounting manual.

    • For the Group noted above, provided post-acquisition accounting advisory services for a significant acquisition in the US. Services included (1) the calculation and compilation of the US GAAP and IFRS opening balance sheets and (2) policy alignment under US GAAP and IFRS.
    • For a large bank in Japan converting to International Financial Reporting Standards (IFRS), led the work stream responsible for multiple technical topics, such as; segments, pensions, foreign currency, leases, equity and property and equipment. In addition, provided assistance related to SEC reporting requirements.
